UNITED KINGDOM – BUSINESS CUSTOMERS ONLY
Last updated: 7 September 2026
1. DEFINITIONS AND SCOPE
1.1 Supplier
These Business Supply & Distribution Terms (“Terms”) apply to supplies of products by:
WILDKRAUT UK Ltd
Company No. 16708746
Court House, Court Road
Bridgend
CF31 1BE
United Kingdom
(“Wildkraut”, “Supplier”, “we”, “us” or “our”).
1.2 Business Customers Only
These Terms apply exclusively where the customer is acting wholly or mainly for purposes relating to its trade, business, craft or profession (“Business Customer”).
These Terms do not apply to consumers.
Consumer purchases are governed by Wildkraut’s separate Consumer Terms and Conditions.
1.3 Definitions
In these Terms:
“Business Customer” means any retailer, wholesaler, distributor, reseller or other business purchasing Products from Wildkraut for business purposes.
“Distributor” means a Business Customer which has additionally been expressly appointed by Wildkraut in writing as a distributor.
“Order” means an order submitted by a Business Customer for Products.
“Products” means products supplied or offered for supply by Wildkraut.
“Contract” means the contract between Wildkraut and the Business Customer for an Order.
1.4 Application of Terms
These Terms apply to all Orders accepted by Wildkraut unless Wildkraut and the Business Customer have expressly agreed otherwise in a separate written agreement signed by authorised representatives of both parties.
1.5 Precedence
Where a separate written distribution, supply, wholesale or commercial agreement has been signed by both parties, that agreement shall prevail over these Terms to the extent of any conflict.
1.6 Customer Terms
Any terms and conditions contained in or referred to in a purchase order, procurement system, email, invoice or other document issued by the Business Customer shall not apply unless expressly accepted in writing by an authorised representative of Wildkraut.
1.7 Updates
Wildkraut may update these Terms from time to time.
Unless otherwise agreed, amended Terms shall apply only to Orders accepted after the updated Terms have been made available to the Business Customer.
2. COMMERCIAL RELATIONSHIP
2.1
A Business Customer purchasing Products from Wildkraut is not automatically appointed as a distributor, commercial agent, franchisee or exclusive reseller.
2.2
Where Wildkraut expressly appoints a Business Customer as a Distributor, such appointment shall be non-exclusive unless a separate written agreement expressly states otherwise.
2.3
Unless otherwise agreed in writing, Wildkraut may:
(a) sell Products directly to customers;
(b) sell Products through its own websites and online channels;
(c) appoint other retailers, wholesalers and distributors; and
(d) supply other customers within the same geographical area.
2.4
A Distributor may not appoint sub-distributors, agents or other authorised representatives of Wildkraut without Wildkraut’s prior written consent.
2.5
Nothing in these Terms creates a partnership, joint venture, employment relationship or commercial agency between the parties.
2.6
The Business Customer has no authority to make commitments, representations or contracts on behalf of Wildkraut.
3. ORDERS AND CONTRACT FORMATION
3.1
Any quotation, price list, product catalogue, sales presentation or other information supplied by Wildkraut is an invitation to place an Order and does not constitute a binding offer unless expressly stated otherwise.
3.2
An Order submitted by the Business Customer constitutes an offer to purchase Products subject to these Terms.
3.3
An Order becomes binding only when Wildkraut:
(a) issues written acceptance or an order confirmation;
(b) issues an invoice expressly accepting the Order; or
(c) dispatches the Products,
whichever occurs first.
3.4
Wildkraut may refuse or limit an Order before acceptance, including because of:
(a) product availability;
(b) credit risk;
(c) overdue invoices;
(d) unusual order quantities;
(e) legal or regulatory requirements;
(f) suspected fraud or misuse;
(g) export or distribution restrictions; or
(h) other reasonable commercial considerations.
3.5
Once an Order has been accepted, the Business Customer may not cancel or amend it without Wildkraut’s written agreement.
3.6
Wildkraut may make reasonable changes to product specifications where required by law, regulation, safety requirements, manufacturing requirements or where the change does not materially affect the nature or quality of the Product.
4. PRICES AND VAT
4.1
Unless otherwise stated, all B2B prices are expressed in pounds sterling (GBP) and are exclusive of VAT.
4.2
VAT will be charged at the applicable rate.
4.3
Prices applicable to an Order shall be those confirmed by Wildkraut in the relevant quotation, price list, order confirmation or invoice.
4.4
Unless expressly agreed otherwise, prices do not include:
(a) delivery charges;
(b) special packaging;
(c) insurance;
(d) customs duties;
(e) import charges; or
(f) other third-party costs.
Where applicable, these amounts may be charged separately.
4.5
Wildkraut may amend its B2B prices from time to time.
Any revised prices shall apply to future Orders and shall not retrospectively alter an Order already accepted by Wildkraut.
5. RECOMMENDED RETAIL PRICES AND COMPETITION LAW
5.1
Wildkraut may communicate recommended retail prices (“RRP”) for Products.
5.2
Any RRP is a recommendation only.
The Business Customer remains independently responsible for determining its own resale prices.
5.3
Nothing in these Terms requires a Business Customer to sell Products at a fixed or minimum resale price.
5.4
The parties shall comply with applicable UK competition law in connection with the distribution and resale of the Products.
6. PAYMENT
6.1
Payment terms shall be those stated on the relevant invoice, quotation, order confirmation or separately agreed credit terms.
6.2
Where no credit terms have been expressly agreed, Wildkraut may require payment in full before dispatch.
6.3
Wildkraut may establish, amend, reduce or withdraw a Business Customer’s credit limit at any time on reasonable commercial grounds.
6.4
Wildkraut may require advance payment, payment security or other reasonable financial assurance before accepting or fulfilling further Orders.
6.5
Payments must be made in cleared funds to the bank account or payment method specified by Wildkraut.
6.6
The Business Customer shall pay invoices in full without deduction, counterclaim or set-off except where required by law or expressly agreed by Wildkraut in writing.
6.7 Late Payment
Where an amount is overdue, Wildkraut may exercise its rights under the Late Payment of Commercial Debts (Interest) Act 1998, including charging statutory interest at the applicable rate.
At the date of these Terms, statutory interest is calculated at 8 percentage points above the Bank of England base rate.
Wildkraut may also claim any statutory fixed compensation and reasonable recovery costs available under applicable law.
6.8
Interest shall accrue from the date payment became due until the date payment is received in full.
6.9
If payment is overdue, Wildkraut may, to the extent permitted by law:
(a) suspend further deliveries;
(b) place further Orders on hold;
(c) withdraw credit facilities;
(d) require advance payment for future Orders; and/or
(e) pursue recovery of the outstanding amount.
7. RECURRING OR STANDING B2B ORDERS
7.1
Wildkraut may agree with a Business Customer to supply Products automatically at recurring intervals (“Recurring Supply Arrangement”).
7.2
A Recurring Supply Arrangement may specify:
(a) Products;
(b) quantities;
(c) delivery intervals;
(d) prices or applicable price lists;
(e) delivery charges;
(f) minimum quantities;
(g) minimum duration, if any; and
(h) payment arrangements.
7.3
Unless expressly agreed otherwise, each shipment under a Recurring Supply Arrangement constitutes an individual Order under the continuing commercial arrangement between the parties.
7.4
The Business Customer authorises Wildkraut to generate the agreed recurring Orders and, where applicable, collect payment using the agreed payment method.
7.5
Unless otherwise agreed, a Business Customer may amend or terminate a Recurring Supply Arrangement by providing notice before processing of the next Order begins.
Where Wildkraut provides an online account management facility, the relevant cut-off date displayed there shall apply.
7.6
If an Order has already entered processing, picking, packing or dispatch at the time cancellation is received, Wildkraut may complete that Order and charge the Business Customer accordingly.
7.7
Wildkraut may change prices applying to future recurring Orders by giving reasonable advance notice.
The Business Customer may terminate the Recurring Supply Arrangement before the new price takes effect.
7.8
Wildkraut may suspend or terminate a Recurring Supply Arrangement where payments are overdue, Products are unavailable or discontinuation is reasonably necessary for commercial, legal, regulatory or safety reasons.
8. DELIVERY
8.1
Products shall be delivered to the address or delivery location agreed for the relevant Order (“Delivery Point”).
8.2
Delivery dates and times are estimates unless expressly agreed in writing to be binding.
8.3
Wildkraut shall use reasonable efforts to meet estimated delivery dates but time shall not be of the essence unless expressly agreed in writing.
8.4
Wildkraut may make delivery in instalments where reasonably necessary.
Each instalment may be invoiced separately.
8.5
Delay in one instalment shall not automatically entitle the Business Customer to cancel the remaining instalments.
8.6
The Business Customer is responsible for:
(a) providing accurate delivery information;
(b) ensuring reasonable access to the Delivery Point; and
(c) accepting delivery during the agreed delivery period.
8.7
Where delivery fails because of an act or omission of the Business Customer, Wildkraut may charge reasonable additional transport, redelivery, storage and handling costs actually incurred.
9. RISK
9.1
Unless otherwise agreed in writing, risk in the Products passes to the Business Customer upon delivery at the Delivery Point.
9.2
Where the Business Customer arranges its own carrier or collects the Products from Wildkraut or its fulfilment facility, risk passes when the Products are handed to the Business Customer or its appointed carrier.
9.3
Transfer of risk is separate from transfer of legal title.
10. RETENTION OF TITLE
10.1
Legal title to Products shall not pass to the Business Customer until Wildkraut has received payment in full for those Products.
10.2
Until title has passed, the Business Customer shall:
(a) store the Products in a proper manner;
(b) maintain them in satisfactory condition;
(c) keep them identifiable as Wildkraut Products;
(d) not remove or obscure product, batch, safety or identification information; and
(e) permit Wildkraut, on reasonable request, to identify Products for which payment remains outstanding.
10.3
Unless Wildkraut has suspended that right because payment is overdue, the Business Customer may resell Products in the ordinary course of its business.
10.4
If payment for Products becomes overdue, Wildkraut may require the Business Customer to return any identifiable and unsold Products for which title remains with Wildkraut.
10.5
If the Business Customer fails to return such Products following a lawful demand, Wildkraut may seek access to premises where the Products are stored for the purpose of recovering them, but only to the extent permitted by applicable law and subject to any rights of landlords, insolvency practitioners or other third parties.
10.6
Nothing in this Section creates a charge over the Business Customer’s assets or proceeds of sale.
11. INSPECTION, SHORTAGES AND DEFECTS
11.1
The Business Customer should inspect Products as soon as reasonably practicable following delivery.
11.2
Visible:
(a) delivery damage;
(b) incorrect Products;
(c) shortages; or
(d) obvious defects
should be reported to Wildkraut in writing within five Business Days of delivery where reasonably practicable.
11.3
A defect which could not reasonably have been discovered during normal inspection should be notified promptly after discovery.
11.4
Failure to notify Wildkraut within the above periods shall not automatically exclude a valid claim where:
(a) the defect was latent;
(b) the Business Customer could not reasonably have discovered it earlier; or
(c) exclusion of the claim would not be permitted under applicable law.
11.5
The Business Customer shall provide reasonable evidence of the alleged defect, damage or shortage and shall preserve affected Products where reasonably requested.
12. PRODUCT WARRANTY
12.1
Wildkraut warrants that at the time of delivery the Products will materially correspond with their contractual description.
12.2
The statutory terms applicable to business sales under the Sale of Goods Act 1979 shall apply except to the extent that any variation or exclusion is lawfully permitted and satisfies any applicable statutory reasonableness requirement.
12.3
Natural variations in colour, scent, texture, appearance or dimensions shall not constitute a defect where they are inherent in the nature of the relevant Product and do not materially affect its quality, safety or contractual description.
12.4
Wildkraut shall not be responsible for defects or deterioration caused by:
(a) improper storage;
(b) exposure to unsuitable conditions;
(c) failure to follow storage or handling instructions;
(d) modification;
(e) tampering;
(f) repackaging;
(g) misuse; or
(h) circumstances occurring after risk has passed and outside Wildkraut’s control.
12.5
Where a valid Product defect exists for which Wildkraut is responsible, Wildkraut may, as appropriate:
(a) replace the affected Products;
(b) issue a credit note;
(c) refund the affected purchase price; or
(d) agree another reasonable remedy.
This clause is subject to rights and liabilities which cannot lawfully be excluded.
13. RETURNS
13.1
Business Customers do not have the consumer statutory 14-day change-of-mind cancellation right.
13.2
Products may not be returned merely because the Business Customer no longer requires them unless Wildkraut has agreed to the return in writing.
13.3
Any agreed commercial return may be subject to reasonable conditions, including:
(a) Products being unopened and resaleable;
(b) appropriate remaining shelf life;
(c) original packaging;
(d) batch traceability; and
(e) agreed transport or handling charges.
13.4
This Section does not affect valid claims relating to defective, damaged or incorrectly supplied Products.
14. BUSINESS CUSTOMER AND DISTRIBUTOR OBLIGATIONS
14.1
The Business Customer shall comply with all applicable laws and regulations relating to the purchase, storage, advertising, marketing, sale and distribution of the Products.
14.2
The Business Customer shall ensure that Products are stored and handled in accordance with all instructions, packaging requirements and safety information supplied by Wildkraut.
14.3
The Business Customer shall not:
(a) remove or alter mandatory labels;
(b) obscure batch or traceability information;
(c) alter Products without written approval;
(d) repackage Products without written approval;
(e) make false, misleading or unauthorised claims relating to Products;
(f) make medical, health, safety, performance or regulatory claims which have not been authorised by Wildkraut or otherwise lawfully substantiated; or
(g) represent that Wildkraut has approved advertising or promotional material where it has not done so.
14.4
Where a Product is subject to age restrictions or other conditions of sale, the Business Customer is responsible for complying with all applicable requirements at the point of resale.
14.5
The Business Customer shall maintain appropriate records sufficient to identify Products supplied and, where reasonably required for safety or regulatory purposes, their onward distribution.
15. PRODUCT SAFETY, TRACEABILITY AND RECALLS
15.1
The parties shall cooperate in relation to product safety, regulatory compliance, traceability, corrective action and recalls.
15.2
The Business Customer shall promptly inform Wildkraut if it becomes aware of:
(a) an actual or suspected safety issue;
(b) a regulatory complaint;
(c) a material product defect;
(d) suspected tampering or counterfeiting;
(e) a significant adverse customer complaint; or
(f) contact from a relevant regulatory or enforcement authority concerning the Products.
15.3
Where Wildkraut reasonably determines that Products should be withdrawn, recalled, quarantined or subject to another corrective action, the Business Customer shall promptly cooperate with reasonable instructions issued by Wildkraut.
15.4
The Business Customer shall immediately stop selling affected Products where instructed to do so for legitimate safety or regulatory reasons.
15.5
Responsibility for reasonable recall or corrective-action costs shall be allocated according to the cause of the relevant issue.
Where the recall results from a defect for which Wildkraut is responsible, Wildkraut shall bear the reasonable direct costs for which it is legally responsible.
Where it results from the Business Customer’s unauthorised modification, storage, marketing, repackaging or breach of applicable law, the Business Customer shall be responsible for costs arising from that breach to the extent permitted by law.
16. INTELLECTUAL PROPERTY AND MARKETING
16.1
All intellectual property rights relating to Wildkraut, including trademarks, logos, trade names, product designs, packaging, photographs, graphics, copy and approved marketing materials remain the property of Wildkraut or the applicable rights holder.
16.2
Wildkraut grants the Business Customer a limited, non-exclusive, non-transferable and revocable licence to use approved Wildkraut branding solely for the legitimate advertising and resale of genuine Wildkraut Products purchased from Wildkraut.
16.3
The Business Customer shall follow reasonable brand guidelines supplied by Wildkraut.
16.4
The Business Customer shall not:
(a) register or attempt to register Wildkraut trademarks, names or confusingly similar rights;
(b) modify Wildkraut logos without permission;
(c) create misleading product or company associations;
(d) use Wildkraut intellectual property in connection with counterfeit or unauthorised products; or
(e) challenge Wildkraut’s ownership of its intellectual property.
16.5
The licence granted under this Section terminates automatically when the Business Customer ceases to be authorised to resell Wildkraut Products.
17. CONFIDENTIAL INFORMATION
17.1
Each party shall keep confidential non-public commercial, pricing, financial, technical and business information received from the other party and identified as confidential or which should reasonably be understood to be confidential.
17.2
Confidential information may be disclosed:
(a) to employees, professional advisers, contractors and service providers who need to know it and are subject to appropriate confidentiality obligations; or
(b) where disclosure is required by law, court order or regulatory authority.
17.3
This Section does not apply to information which:
(a) is already lawfully public;
(b) was lawfully known before disclosure;
(c) is lawfully obtained from a third party; or
(d) is independently developed without use of the confidential information.
18. DATA PROTECTION
18.1
Each party shall comply with applicable UK data protection law in relation to personal data processed in connection with the commercial relationship.
18.2
Where the parties process personal data independently for their own business purposes, each party shall act as a separate controller in respect of such processing unless otherwise agreed.
18.3
Where a separate data processing agreement is legally required, the parties shall enter into an appropriate agreement.
19. ANTI-BRIBERY, SANCTIONS AND LEGAL COMPLIANCE
19.1
Each party shall comply with applicable anti-bribery, anti-corruption, sanctions, export-control and trade laws relevant to its performance of the Contract.
19.2
The Business Customer shall not knowingly sell, export, re-export or otherwise supply Products in breach of applicable trade restrictions or sanctions.
19.3
Wildkraut may refuse or suspend a transaction where reasonably necessary to comply with applicable law or binding sanctions requirements.
20. INDEMNITY FOR BUSINESS CUSTOMER BREACHES
20.1
Subject to applicable law, the Business Customer shall indemnify Wildkraut against reasonable third-party claims, losses, damages and costs to the extent directly resulting from:
(a) unauthorised modification or repackaging of Products by the Business Customer;
(b) unauthorised product claims or advertising created by the Business Customer;
(c) unlawful resale or distribution by the Business Customer;
(d) breach of intellectual property obligations under these Terms; or
(e) the Business Customer’s material breach of applicable law in connection with the Products.
20.2
Wildkraut shall take reasonable steps to mitigate losses for which it seeks indemnification.
21. LIMITATION OF LIABILITY
21.1
Nothing in these Terms excludes or limits liability for:
(a) death or personal injury caused by negligence;
(b) fraud or fraudulent misrepresentation;
(c) breach of obligations relating to title where liability cannot lawfully be excluded;
(d) liability which cannot legally be excluded or restricted; or
(e) any other matter for which exclusion or limitation would be unlawful.
21.2
Subject to clause 21.1 and to the extent permitted by law, neither party shall be liable to the other for:
(a) indirect or consequential loss;
(b) loss of anticipated profits;
(c) loss of business;
(d) loss of anticipated savings;
(e) loss of goodwill; or
(f) loss of business opportunity,
except to the extent such limitation would be unlawful or unreasonable under applicable law.
21.3
Subject to clauses 21.1 and 21.2, Wildkraut’s aggregate liability arising from or in connection with an Order shall not exceed 100% of the total price paid or payable to Wildkraut under the Order giving rise to the claim, except where such limitation would fail an applicable statutory reasonableness test.
21.4
Where a claim relates to a continuing Recurring Supply Arrangement rather than a single identifiable Order, Wildkraut’s aggregate liability shall not exceed the amounts paid or payable under that arrangement during the 12 months immediately preceding the event giving rise to the claim, subject to applicable law.
21.5
Wildkraut shall not be liable to the extent that loss results from:
(a) the Business Customer’s breach of these Terms;
(b) improper storage or handling;
(c) modification or repackaging;
(d) failure to follow product instructions;
(e) unauthorised representations made to third parties; or
(f) other acts or omissions of the Business Customer.
22. SUSPENSION AND TERMINATION
22.1
Wildkraut may suspend acceptance or fulfilment of new Orders where:
(a) invoices are overdue;
(b) agreed credit limits have been exceeded;
(c) the Business Customer materially breaches these Terms;
(d) Wildkraut reasonably suspects fraud or unlawful activity;
(e) continued supply creates a material regulatory or safety risk; or
(f) suspension is otherwise permitted by law.
22.2
Either party may terminate an ongoing commercial arrangement by giving any notice expressly agreed between the parties.
Where no notice period has been agreed and the relationship is not for a fixed term, either party may terminate the continuing arrangement on reasonable written notice, without affecting Orders already accepted.
22.3
Either party may terminate a Contract for material breach where the breach is incapable of remedy or, if capable of remedy, is not remedied within a reasonable period after written notice requiring remedy.
22.4 Insolvency
Any right of Wildkraut to terminate, suspend supply or alter contractual rights in connection with insolvency, restructuring or similar proceedings shall apply only to the extent permitted by applicable insolvency law.
Nothing in these Terms is intended to permit Wildkraut to exercise a termination or other right which is prohibited or suspended by section 233B of the Insolvency Act 1986 or any equivalent applicable legislation.
22.5
Nothing prevents Wildkraut from exercising a right which arises from a breach occurring after commencement of an applicable insolvency procedure where that right remains available under applicable law.
23. CONSEQUENCES OF TERMINATION
23.1
Termination shall not affect rights and liabilities accrued before termination.
23.2
All invoices and other amounts validly due shall remain payable in accordance with applicable law.
23.3
Upon termination of an authorised distribution relationship, the Business Customer shall cease representing itself as an authorised Wildkraut distributor or representative.
23.4
Any intellectual property licence granted under these Terms shall terminate, except to the extent reasonably necessary to sell genuine stock which the Business Customer remains lawfully authorised to sell.
23.5
Sections which by their nature are intended to continue after termination shall survive, including provisions relating to:
(a) payment;
(b) confidentiality;
(c) intellectual property;
(d) liability;
(e) accrued claims; and
(f) governing law and jurisdiction.
24. FORCE MAJEURE
24.1
Neither party shall be liable for failure or delay in performing an obligation to the extent caused by an event outside its reasonable control.
24.2
Such events may include:
(a) natural disasters;
(b) fire or flood;
(c) war or terrorism;
(d) government action;
(e) serious transport disruption;
(f) industrial disputes involving third parties;
(g) failure of essential infrastructure;
(h) import or export restrictions; or
(i) significant supply-chain disruption outside the affected party’s reasonable control.
24.3
The affected party shall use reasonable efforts to mitigate the effect of the event.
24.4
Payment obligations for Products already supplied are not excused by this Section.
25. ASSIGNMENT AND SUBCONTRACTING
25.1
The Business Customer may not assign, transfer or subcontract its material rights or obligations under a Contract without Wildkraut’s prior written consent, such consent not to be unreasonably withheld where appropriate.
25.2
Wildkraut may subcontract logistics, warehousing, fulfilment, delivery, payment processing and other operational activities.
25.3
Wildkraut may assign a Contract to an affiliated company or as part of a genuine restructuring, sale or transfer of all or a substantial part of the relevant business, provided that this does not materially reduce the Business Customer’s contractual rights.
26. NOTICES
26.1
Formal notices under these Terms shall be in writing.
26.2
Notices to Wildkraut may be sent to:

Court House, Court Road

26.3
Wildkraut may send notices to the postal or email address most recently provided by the Business Customer.
27. ENTIRE AGREEMENT AND NON-RELIANCE
27.1
These Terms together with the applicable Order, quotation, order confirmation and any expressly incorporated written agreement constitute the agreement relating to the relevant supply.
27.2
Each party acknowledges that in entering into the Contract it does not rely on statements or representations which are not expressly set out in the Contract.
27.3
Nothing in this Section excludes or limits liability for fraud or fraudulent misrepresentation.
28. WAIVER
Failure or delay by either party to exercise a right or remedy shall not constitute a waiver of that right or remedy.
A waiver relating to one breach shall not constitute a waiver relating to another breach.
29. SEVERABILITY
If any provision of these Terms is found to be invalid, unlawful or unenforceable, that provision shall be treated as modified to the minimum extent necessary to make it valid and enforceable where legally possible.
If such modification is not possible, the affected provision shall be severed.
The remaining provisions shall continue in full force.
30. THIRD-PARTY RIGHTS
Unless expressly stated otherwise, a person who is not a party to the Contract shall have no right to enforce any provision of it under the Contracts (Rights of Third Parties) Act 1999.
31. GOVERNING LAW AND JURISDICTION
31.1
These Terms and each Contract arising under them shall be governed by and construed in accordance with the laws of England and Wales.
31.2
The parties agree that the courts of England and Wales shall have exclusive jurisdiction to settle any dispute, claim or controversy arising out of or in connection with these Terms or any Contract.
